Why is it important to calculate the basis of each partner's interest in a partnership?

I can't speak as to Indian tax law. But under U.S. tax law, "basis" is the tax codes' way of saying "investment" more or less.

It is important to calculate the basis of each partner's interest in a partnership (i) because that's probably the law, and (ii) there are some situations in which the amount of this basis will be very important as to tax ramifications. These situations include the death of a partner or the purchase/sale of a partnership interest.

In case the partnership decides to split so the other partner knows how much they will have to buy out or if they get sued, to know which partner will have to pay the greater amount if they have to pay out as a result of a law suit. Also to know which partner will be the decision making partner or the final say.

You need to calculate the basis of each partner's interest in a partnership to calculate the profits (or dividends) & voting rights of each partner.
